Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SignalPilot d.o.o. (Registration Number: 754612835), a Croatian limited liability company with its registered office at Branimirova ulica 79, 20325 Dubrovnik, Croatia ("SignalPilot", "we", "us", or "our").

By accessing, browsing, or using our website at signalpilot.pro, our mobile applications, or any of our FinTech services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

We may modify these Terms at any time by posting the revised version on our website. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to check these Terms periodically for changes.

Description of Services

SignalPilot provides financial technology solutions designed for businesses operating in European markets. Our Services include payment processing, financial analytics, business banking solutions, API integration services, and related FinTech applications.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

User Obligations and Responsibilities

To use our Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using our Services on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

You agree to provide accurate, current, and complete information when creating an account or using our Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account or any other security breach.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not use our Services to engage in any illegal activities, violate any applicable laws or regulations, or infringe upon the rights of others. You are prohibited from attempting to gain unauthorised access to our systems, interfering with the proper functioning of our Services, or transmitting harmful code or content.

Payment Terms and Fees

Fees for our Services are set forth in your service agreement or as displayed on our website. All fees are exclusive of applicable taxes, which you are responsible for paying. We reserve the right to change our fees at any time, with notice provided in accordance with your service agreement.

Payment terms vary depending on your selected service plan. Fees are generally billed monthly or annually in advance. Late payments may result in service suspension or termination. You authorise us to charge your designated payment method for all applicable fees and charges.

Intellectual Property

The SignalPilot platform, including all software, content, trademarks, logos, and other materials provided through our Services, are owned by SignalPilot or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use our Services in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on our Services or any content provided through our platform without our express written permission. Any unauthorised use of our intellectual property may result in immediate termination of your access to our Services and potential legal action.

You retain ownership of any data, content, or materials you provide to us through our Services. By using our Services, you grant us a licence to use, process, and store such content as necessary to provide our Services and as described in our Privacy Policy.

Data Protection and Privacy

We are committed to protecting your privacy and personal data in accordance with the General Data Protection Regulation (GDPR) and Croatian data protection laws. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Services, you consent to our collection, processing, and use of your data as described in our Privacy Policy. You have the right to access, rectify, erase, or restrict the processing of your personal data, and to object to certain processing activities as outlined in our Privacy Policy.

Limitation of Liability

To the maximum extent permitted by applicable law, SignalPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our Services.

Our total liability to you for any claims arising out of or relating to these Terms or our Services shall not exceed the amount you paid to us for the Services in the twelve (12) months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

We provide our Services "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or completely secure, although we implement reasonable security measures to protect your data and transactions.

Indemnification

You agree to indemnify, defend, and hold harmless SignalPilot, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of our Services, your violation of these Terms, or your violation of any rights of another party.

Governing Law

These Terms and any disputes arising out of or relating to these Terms or our Services shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Croatia, and you hereby consent to the personal jurisdiction and venue of such courts. If you are a consumer resident in another EU member state, you may also bring proceedings in the courts of your country of residence.

The European Commission provides an online dispute resolution platform for consumers, which can be accessed at ec.europa.eu/consumers/odr. However, we are not obliged to participate in dispute resolution procedures before consumer arbitration boards.

Termination

Either party may terminate your access to our Services at any time, with or without cause, by providing written notice. Upon termination, your right to use our Services will immediately cease, and we may delete your account and data in accordance with our data retention policies.

We reserve the right to suspend or terminate your access to our Services immediately if you violate these Terms, engage in fraudulent activities, or pose a security risk to our platform or other users. Termination does not relieve you of any obligations to pay outstanding fees or charges.

Provisions of these Terms that by their nature should survive termination, including but not limited to intellectual property rights, limitation of liability, indemnification, and governing law, shall remain in effect after termination.

Compliance and Regulatory Matters

SignalPilot operates in compliance with applicable financial services regulations, including but not limited to the Payment Services Directive (PSD2), Anti-Money Laundering (AML) directives, and other relevant European and Croatian financial regulations.

You agree to provide any information or documentation we may reasonably request to comply with our regulatory obligations, including customer due diligence and transaction monitoring requirements. Failure to provide required information may result in service limitations or termination.

Miscellaneous Provisions

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

These Terms constitute the entire agreement between you and SignalPilot regarding your use of our Services and supersede all prior agreements and understandings. No amendment to these Terms shall be effective unless made in writing and signed by both parties.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms and our rights and obligations hereunder without restriction.
